Legal Agreement: Terms of Service

(Updated 03/28/2023) Our TOU is long and boring, but it’s important that you read it carefully to understand your rights and protections, as well as ours. It's organized into three parts; Members, Bookable Spaces, and General Terms. Please contact us at service@tnjcommunity.com or ask an associate if you have questions regarding this TOU.

Members:

Term.

All memberships are month-to-month unless otherwise specified. To avoid additional charges, please notify us 30 days before the termination of your membership. 

Payments and Default.

All membership payments are due on the same day each month; either your membership start date or the 1st of the month. Toast and Jam Community reserves the right to charge late fees and/or withhold services if payments are not received on time. All mail received at this address that is intended for a current member that has defaulted on membership dues will be returned. Members in default will be denied access to the facility. Members may pay via Credit Card. Credit Card Information will be retained for the payment of subsequent invoices and dues.

​Default and Property

Any property left in an office by a former member after their Private Office Membership has been canceled due to non-payment will be considered abandoned and is subject to liquidation. These items will incur a $50 storage fee for each day they are left uncollected. Any funds generated by the sale of this property will be applied to the outstanding debt related to the unpaid membership dues and storage costs.
Toast and Jam staff will notify the person associated with the canceled Private Office Membership in writing and via email 14 days before the related property is moved and/or sold. 

 

Exclusivity.

Monthly Memberships are non-transferable and may not be shared by more than one person. Each member must have their own membership.

 

Guests*.

Each monthly member may be accompanied by a maximum of three (3) non-member guests per day in the coworking area and a maximum of five (5) non-member guests in any private office unless management is informed in advance, and management agrees to a temporary increase to these limits. A temporary increase must be provided via email.

Each Punch Pass and Day Pass member may be accompanied by One (1) guest at a time in the coworking area.

*A "Guest" is any non-member who is accompanied by a member for "official purposes" for a maximum of four (4) consecutive hours, on any three (3) days per calendar month. Guest passes are not intended to be used in lieu of membership. Any person that intends to regularly use the space for official purposes does not qualify as a guest.

Self-Serve Refreshments.

Refreshments are provided as a courtesy to members and their guests. These refreshments (snacks, coffee, beverages) may become exhausted on occasion and no refund or reimbursement of membership funds will be awarded to members due to the lack of complimentary refreshments. 

Members and their guests will not abuse the “Self-Serve” policy by wasting or over-serving refreshments. They will also refrain from removing unconsumed refreshments from the premises for later consumption.

Refreshments should not be given to family members, children, or anyone who isn't present for official purposes. Violation of this policy may result in additional membership charges.

 

Private Offices

Private Office Members enjoy similar amenities to that of a Coworking Membership with the addition of access to an office. These offices are not leased and therefore do not benefit from the legal protections of a leased property. Toast and Jam staff may enter any office for any reason at any time with or without notice. 

Private Office Members and Sub-members.

Each Private Office Membership will include a number of available Sub-memberships as follows; one (1) per small office, three (3) per medium office, and five (5) per large office. They will be allocated one fob each and their contact information will be recorded. These sub-members will have access to the facility and all member amenities independent of the primary member, as long as the primary member remains in good standing and has an active membership. Both Toast and Jam LLC and the primary member have the right to remove any one of their sub-members at any time for any reason. When requested by management, private office members and sub-members will remain in their offices so as not to deprive coworking members of available workspaces if they become limited. 

Painting, Window Coverings, and Signage.

Any and all proposed alterations to the walls and ceilings of a private office must be approved in writing by Toast and Jam Community management. The member will be responsible for any cost incurred when completing the alteration, and if the alteration should cause damage to critical systems (water, fire sprinkler, electrical, etc.). All window coverings and signage must be approved by Toast and Jam Management before installation. 

 

Decorations.
Members are free to decorate their offices as they see fit as long as those decorations are not offensive or detract from the aesthetic of the Community. Toast and Jam management retains full authority in making such judgments and members will comply with all requests to remove any items or decor promptly.

 

Keys.

One key will be issued to each Private Office and Mailbox member at no charge. Additional keys may be provided with an additional one-time charge of $10 per key. An additional charge of $25 per key will be imposed if they are not returned within 30 days of membership termination.

 

Business Registration.

As a provider of “Executive Offices”, Toast and Jam LLC authorizes all members to register their businesses at the Toast and Jam Community address. New members must notify a member of our management before applying for registration at our address. Business registration to this address will result in a one-time charge of $50. Note: The city of Buford requires the applicant to use the term “Executive Office” when applying. Members will also need to produce a copy of our CoO when applying and it will be provided on request. 

 

Bookable Areas:

 

Access.
The Conference Room and Event Space located at Toast and Jam Community are available to both members and non-members for booking.

 

Rented Items.
Toast and Jam Community may make items available for rent to a client when a room within the facility is also rented to that client. We provide no guarantee of quality or functionality for any rented items. If any item is found to be nonfunctional within one hour of the time it is received by the client, it may be returned for a refund of the rental rate.

A deposit may be charged prior to the scheduled event date, in addition to the rental fee. This deposit will be refunded within 7 days of the event if the items are returned complete and in as-rented condition as determined by a Toast and Jam Community staff member. If items are found incomplete or damaged, a portion of the deposit will be withheld and additional fees may be incurred and charged to the credit card on file, or invoiced to the renter.

Decorations In Bookable Areas.
Clients are free to decorate the rented space as they see fit as long as those decorations are not permanent, destructive, offensive, or detract from the aesthetic of the Community. Toast and Jam management retains full authority in making such judgments and clients will comply with all requests to remove any items or decor promptly. All decorations must be removed before the end of the booked time slot.

 

Cleaning.
The booked room must be cleaned and presentable before the end of the booking period. There should be no trash or debris on the floors and all equipment should be orderly and ready to use. All tables and chairs should be closed and stacked neatly in the corridor next to the space. Only stack four chairs per stack.

Overages.
The booked space must be cleaned and vacated before the reservation end-time. If the event exceeds the allotted time or if the room is not cleaned and presentable by the close of the reservation, the client responsible for the booking will be charged an overage fee equal to 200% of the hourly booking rate multiplied by the amount of time the reservation was exceeded accrued in 15-minute increments.

Attendees.
All event attendees will remain within the rented space for the duration of the reservation except when walking to or from the restrooms and exits. Attendees are prohibited from loitering in the restrooms, hallways, non-booked areas, and near the exit doors of the facility.

Enforcement.
Toast and Jam Community reserves the right to charge additional fees to enforce all previously stated requirements. These fees will be paid by the booking party within 30 days of the booked event.

General Terms:

Acceptance of Terms.

The services Toast and Jam, LLC (“Toast and Jam Community”) provides to you, the undersigned, are subject to the following Terms of Use (“TOU”).


Toast and Jam Community reserves the right to update the TOU at any time. Toast and Jam Community will attempt to contact you to notify you of any updates within 30 days of their enactment using the contact information provided in the Membership Agreement.

 

No Unlawful or Prohibited Use.

As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any Toast and Jam Community server, or the network(s) connected to any Toast and Jam Community server, or interfere with any other party’s use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, or accounts, computer systems or networks connected to any Toast and Jam Community server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.

You hereby represent and warrant that you have all requisite legal power and authority to enter into and abide by the terms and conditions of this TOU and no further authorization or approval is necessary. You further represent and warrant that your participation or use of the Services will not conflict with or result in any breach of any license, contract, agreement or other instrument or obligation to which you are a party.

Toast and Jam Community reserves the right at all times to disclose any information about you, your participation in and use of the Services as Toast and Jam Community deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, at Toast and Jam Community’s sole discretion.

Use of services.

You agree that when participating in or using the Services, you will not:

  • Use the Services in connection with contests, pyramid schemes, chain letters, junk email, spamming or any duplicative or unsolicited message (commercial or otherwise);

  • Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others;

  • Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through Toast and Jam Community Services;

  • Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as a limitation, copyright or trademark laws (or by rights of privacy, or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same;

  • Use any material or information, including images or photographs, which are made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party;

  • Upload files that contain viruses, Trojan Horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or property of another;

  • Download any file(s) that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner;

  • Restrict or inhibit any other user from using and enjoying the Services; 

  • Violate any code of conduct of other guidelines which may be applicable for any particular Service;

  • Harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party;

  • Live in or sleep on the community premises;

  • Act in an abusive, offensive, or lewd manner toward other members; 

  • Violate any applicable laws or regulations;

  • Operate data servers or cryptocurrency mining operations on Toast and Jam Community property;

  • Create a false identity for the purpose of misleading others.

 

Confidentiality.

You acknowledge and agree that during your participation in and use of the services, you may be exposed to Confidential Information. “Confidential Information” shall mean all information, in whole or in part, that is disclosed by Toast and Jam Community, or any participant or user of the Services or any employee, affiliate, or agent thereof, that is nonpublic, confidential or proprietary in nature.

Confidential Information also includes, without limitation, information about the business, sales, operations, know-how, trade secrets, technology, products, employees, customers, marketing plans, financial information, services, business affairs, any knowledge gained through examination or observation of or access to the facilities, computer systems and/or books and records of Toast and Jam Community, any analyses, compilations, studies or other documents prepared by Toast and Jam Community or otherwise derived in any manner from the Confidential Information and any information that you are obligated to keep confidential or know or has reason to know should be treated as confidential.

Your participation in and/or use of the Services obligates you to maintain all Confidential Information in strict confidence;

  • not to disclose Confidential Information to any third parties;

  • not to use the Confidential Information in any way directly or indirectly detrimental to Toast and Jam Community, or any participant or user of the Services.

All Confidential Information remains the sole and exclusive property of Toast and Jam Community or the respective disclosing party. You acknowledge and agree that nothing in this TOU or your participation or use of the Services will be construed as granting any rights to you, by license or otherwise, in or to any Confidential Information or any patent, copyright, or other intellectual property or proprietary rights of Toast and Jam Community, or any participant or user of the Services.

Participation In or Use of Services.

You acknowledge that you are participating in or using the Services at your own free will and decision. You acknowledge that Toast and Jam Community does not have any liability with respect to your access, participation in, use of the Services, or any loss of information resulting from such participation or use.

Disclaimer of Warranties.

To the maximum extent permitted by applicable law, Toast and Jam Community provides the services “as is” and with all faults, and hereby disclaims with respect to the services all warranties and conditions, whether express, implied or statutory, including, but not limited to, any (if any) warranties, duties or conditions of or related to merchantability, fitness for a particular purpose, lack of viruses, accuracy or completeness of responses, results, workmanlike effort and lack of negligence. Also, there is no warranty, duty or condition of title, quiet enjoyment, quiet possession, correspondence to description or non-infringement. The entire risk as to the quality, or arising out of participation in or the use of the services, remains with you.

Exclusion of Incidental, Consequential, and Certain Other Damages.

To the maximum extent permitted by applicable law, in no event shall Toast and Jam Community or its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly or individually be liable for any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever (including, but not limited to, damages for loss of profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or of reasonable care), negligence, and any other pecuniary or other loss whatsoever) arising out of or in any way related to the participation in or inability to participate in or use of the services, the provision of or failure to provide services, or otherwise under or in connection with any provision of this agreement, even in the event of the fault, tort (including negligence), strict liability, breach of contract or breach of warranty of Toast and Jam Community, and even if Toast and Jam Community has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability, for consequential or incidental damages, the above limitation may not apply to you.

Limitation of Liability and Remedies.

Notwithstanding any damages that you might incur for any reason whatsoever (including, without limitation, all damages referenced above and all direct or general damages), the entire liability of Toast and Jam Community or its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns under any provision of this TOU and your exclusive remedy for all of the foregoing shall be limited to actual damages incurred by you based on reasonable reliance. The foregoing limitations, exclusions, and disclaimers (including sections 8 and 9 above) shall apply to the maximum extent permitted by applicable law, even if any remedy fails its essential purpose.

Indemnification.

You release, and hereby agree to indemnify, defend and save harmless Toast and Jam Community and Toast and Jam Community’s subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present, and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly and individually, from and against all claims, liabilities, losses, damages, costs, expenses, judgments, fines and penalties based upon or arising out of your negligent actions, errors and omissions, willful misconduct and fraud in connection with the participation in or use of the Services. You further agree in the event that you bring a claim or lawsuit in violation of this agreement, you shall be liable for any attorneys’ fees and costs incurred by Toast and Jam Community or its respective officers and agents in connection with the defense of such claim or lawsuit.

Severability.

In the event that any provision or portion of this TOU is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of this TOU shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.

 

Termination.

Toast and Jam Community reserves the right to terminate any Service at any time. Toast and Jam Community further reserves the right to terminate your participation in and use of any Services, immediately and without notice, if you fail to comply with the TOU and/or if we receive credible complaints from other members related to your conduct or activities while utilizing our Services and/or you fail to pay your dues. Once any membership has been terminated, all benefits associated with that membership will be denied (access to the facility will be denied, mail service will be terminated and mail will be returned, and the city will be notified). Toast and Jam staff must be notified if a member's endeavor and therefore the purpose for use of his membership changes, and this notification or lack of notification may result in termination of membership.
